Terms of Service

Xatheryn Search (“Search”), a web search engine with local business listings, Places (together, the “Service”), is operated by Xatheryn LLC, a North Carolina limited liability company (“Xatheryn,” “we,” “us,” or “our”). These Terms of Service (“Terms”) are a binding agreement between you and Xatheryn LLC governing your use of the Service. In these Terms, “the Xatheryn Parties” means Xatheryn LLC and its members, managers, officers, employees, and agents. Every protection in these Terms for Xatheryn, including each disclaimer, release, indemnity, limit on liability, and the arbitration agreement, covers all of the Xatheryn Parties. By using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you confirm that your parent or legal guardian has given permission. To write reviews or suggest hours, your Xatheryn Connect account must also meet Connect’s own eligibility rules.

2. Description of the Service

Search returns results from our own independently built index of the public web. Places shows local businesses, using information businesses publish about themselves plus reviews and suggestions from users. Search is a general search engine. It also offers a limited Person Lookup, governed by Section 6A, which lists only what organisations publish about their own leadership and staff. Search is not a tool for finding a person’s home address, phone number, email address, or likeness, and does not offer one. See Section 1 of our Privacy Policy.

Search results are curated to follow Xatheryn’s values, and some topics are filtered out of results. We always show crisis resources, such as the 988 Suicide & Crisis Lifeline, when a search suggests someone may need help.

3. Accounts

You can search without an account. To write reviews or suggest hours, you sign in with your Xatheryn Connect account; Search has no separate password or passkey. You are responsible for activity under your account and for keeping your Connect account secure. Your use of Connect itself is governed by the Xatheryn Connect Terms of Service.

4. Reviews and Hours You Submit

You are responsible for what you submit. Reviews must reflect your own genuine experience with the business. You agree not to: (a) post fake reviews, or reviews of your own business or a competitor’s; (b) accept payment, discounts, or anything else of value for a review, or offer them; (c) include personal information about other people, or anything unlawful, defamatory, harassing, hateful, or sexually explicit; or (d) submit hours you know to be wrong.

You keep ownership of your reviews. By submitting a review or hours, you give Xatheryn LLC a non-exclusive, worldwide, royalty-free license to store, display, and publish it in the Service, with your username for reviews, for as long as it remains in the Service. We may edit for formatting, and may remove or decline any submission that breaks these Terms, at our discretion.

5. Advertising, Businesses, and Sponsored Places

Businesses may pay for sponsored placement in Places, and advertisers may pay for sponsored links shown with search results. Sponsored listings and links are always labeled. Sponsorship does not let a business edit, remove, or influence reviews or ratings, and we will not remove an honest review because a business asks us to or pays us. A business that believes its listing is wrong can contact us to correct it.

The Service also shows ads served by Google AdSense on search results pages, as described in our Privacy Policy. Ads and sponsored listings are not endorsements. Businesses and advertisers are responsible for their own listings, ads, and offers, and any dealings you have with them are solely between you and them.

6. Acceptable Use

You agree not to: (a) use the Service for anything unlawful, including to locate, stalk, harass, threaten, or intimidate a specific person, or to compile information about a specific person without their consent, except a Person Lookup used as Section 6A allows; (b) use automated means to scrape, index, or systematically extract results, listings, or reviews; (c) manipulate ratings or reviews, including through multiple accounts; (d) try to get around the Service’s content-safety filtering; (e) interfere with or disrupt the Service, including by clicking on or interacting with ads in a way meant to inflate their cost or performance; or (f) try to access the Service or its systems without authorization.

6A. Person Lookup

Person Lookup lists a person’s job title and organisation as published by that organisation on its own website, with a link to the page. Questions about a job, such as “CEO of a company,” are answered for anyone. To look up a named person you must: (a) be 18 or older; (b) be signed in with your Xatheryn Connect account; (c) give at least one detail you already know about the person; and (d) tick a confirmation box each time. Each account may make one lookup every 14 days, and a lookup counts even if nothing is found.

By ticking the box you confirm, and agree, that you are 18 or older and that you will not use Person Lookup or anything it shows you: (i) to stalk, harass, threaten, or intimidate anyone, or to find someone who does not want to be found; (ii) to make or support any decision about a person’s employment, housing, credit, insurance, or eligibility for any of them; (iii) for any purpose for which a consumer report is regulated by law; (iv) to contact a person in a way they have not invited; or (v) to copy, resell, or republish listings.

Xatheryn Search is not a consumer reporting agency, and Person Lookup is not a consumer report. Listings come from pages we do not own, are not verified by us, can be out of date or incomplete, and can be about a different person with the same name. You must open the linked page and check it before you rely on anything. Links to official public records are provided for your convenience; we do not copy, store, or vouch for what those sites hold.

Residents of certain states can ask us to remove listings under their own name, as described in our Privacy Policy. We may refuse, limit, or end anyone’s use of Person Lookup at any time. We keep a record of each confirmation, as our Privacy Policy describes, and may share it if the law requires or to protect people from harm. You are responsible for your use of Person Lookup, and Sections 10 through 13 apply to it.

7. No Guarantee of Results or Listing Accuracy

Our index is new and growing, built on our own rather than licensed from another provider. We do not guarantee that any page, topic, or search will return results, or that results will be complete, accurate, or current. Business details in Places, including hours, phone numbers, and prices, come from businesses and users and may be out of date. Check with the business directly before relying on them. Results link to third-party pages that we do not own or control and are not responsible for.

8. Xatheryn’s Property

The Service, including our index, ranking, listings, software, design, and the names “Xatheryn” and “Xatheryn Search” and their logos, belong to Xatheryn LLC or its licensors and are protected by law. Other than your own reviews and hours, we keep all rights in them. While you follow these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service to search and to view its results. You may not copy, resell, or republish the Service’s index, results, or listings, or use our names or logos, without our written permission.

9. Disclaimer of Warranties

THE SERVICE, AND EVERYTHING ON OR THROUGH IT, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND FROM THE XATHERYN PARTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE XATHERYN PARTIES DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE, OR THAT SEARCH RESULTS, BUSINESS LISTINGS, REVIEWS, OR ADS WILL BE ACCURATE, COMPLETE, OR SAFE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANY OF THE XATHERYN PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, INCLUDING RELIANCE ON ANY SEARCH RESULT, BUSINESS LISTING, REVIEW, AD, OR LINKED THIRD-PARTY PAGE WE DO NOT CONTROL, OR ANY CONDUCT OF ANY USER, BUSINESS, ADVERTISER, OR THIRD PARTY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE XATHERYN PARTIES, TAKEN TOGETHER, FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID XATHERYN, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Xatheryn Parties from and against any claims, liabilities, damages, losses, and expenses, including fines, penalties, and reasonable attorneys’ fees, arising out of or in any way connected with: (a) your use of the Service; (b) any review, hours, or other content you submit; (c) your breach of these Terms; (d) your violation of any third-party right, including intellectual property, publicity, or privacy rights; or (e) any dispute between you and another user, a business, or an advertiser. We may take over the defense of any matter at your expense, and you may not settle any claim that affects the Xatheryn Parties without our written consent.

12. Release; Disputes With Others

To the fullest extent permitted by law, you release the Xatheryn Parties from all claims, demands, damages, and losses of every kind, known and unknown, arising out of or in any way connected with any dispute between you and another person, including another user, a reviewer, a business or advertiser shown in the Service, or the owner of a page that appears in results, or with any business you find, contact, visit, or deal with through the Service, or any result, listing, review, hours, price, or ad you rely on. If you live in California, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You waive any similar law of any other state as well.

You will not name any of the Xatheryn Parties in any lawsuit, claim, or complaint about a dispute with another user, a business, an advertiser, or the owner of a linked page.

13. Dispute Resolution; Arbitration Agreement; Class Action Waiver

Please read this section carefully. It affects your legal rights. You and Xatheryn LLC (on behalf of itself and the Xatheryn Parties) agree to first try to resolve any dispute informally by contacting us at [email protected]. If a dispute is not resolved within 30 days, you and Xatheryn LLC agree that it will be resolved by binding, individual arbitration rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. You and Xatheryn LLC each waive any right to a jury trial and to participate in a class, collective, or representative action. This arbitration agreement is governed by the Federal Arbitration Act. It covers any claim against any of the Xatheryn Parties, including a claim about a search result, a business listing, a review, or an ad. Where applicable law does not permit enforcement of any part of this section, that part will not apply to the extent (and only to the extent) required by that law, and the remainder of this section will still apply.

Nothing in this section stops Xatheryn LLC from asking a court for an injunction or other equitable relief to protect its intellectual property or to stop unauthorized access to, or misuse of, the Service. Any claim that cannot be arbitrated will be brought only in the state or federal courts located in North Carolina, and you consent to those courts’ personal jurisdiction.

14. Termination and Changes

We may suspend or end your ability to review or suggest hours, or block your access to the Service, if we reasonably believe you broke these Terms. We may change or discontinue the Service at any time, and may update these Terms. Material changes will show a new “Last updated” date, and your continued use of the Service after a change takes effect means you accept the revised Terms. Sections that by their nature should continue (including Sections 4, 6A, 8, and 9 through 13) remain in effect after your access ends.

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, where Xatheryn LLC is organized, without regard to its conflict-of-laws principles, except as otherwise required by applicable law, including any consumer-protection law of your state of residence that cannot be waived.

16. General

If any provision of these Terms is found unenforceable, that provision will be limited or removed only as much as necessary, and the remaining provisions stay in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction. These Terms, together with our Privacy Policy, are the entire agreement between you and Xatheryn LLC about the Service and replace any earlier agreements.
